4. User Accounts

5.2. User Content

5.3. Client Projects

For custom development projects, intellectual property rights will be defined in separate project agreements. Typically, clients receive full ownership of custom-developed solutions upon completion and full payment.

6. Payments and Billing

For paid services, the following terms apply:

• Fees are as specified in your service agreement or project proposal
• Payment terms are net 15 days unless otherwise specified
• Late payments may be subject to interest charges of 1.5% per month or the maximum allowed by law
• You are responsible for any taxes associated with your use of our Services
• We reserve the right to change our pricing with 30 days' notice

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received from the other party during the term of these Terms and for a period of three years after termination. "Proprietary Information" includes all information regarding a party's business, including customer lists, business strategies, technical information, products, services, and pricing.

8. Limitation of Liability

Our total liability in any matter arising out of or related to these Terms is limited to the greater of (a) the amount you paid us for the Services during the three-month period preceding the event giving rise to liability, or (b) $100.

9. Indemnification

You agree to indemnify and hold harmless Frienchtech IT Solutions and its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property right
• Any content you post or transmit through our Services

10. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bhopal, Madhya Pradesh, India.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
